Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Datricx ("Company," "we," "us," or "our") governing your access to and use of the Datricx platform — an AI-powered medical billing and revenue cycle management (RCM) software service ("Service").

By creating an account, clicking "Start Free Trial," or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a healthcare practice, billing company, or other organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Datricx provides an AI-powered SaaS platform for healthcare revenue cycle management, including but not limited to:

  • Automated ICD-10 and CPT claims coding from session notes
  • Smart claim scrubbing against payer-specific rules
  • Electronic claim submission and ERA auto-posting
  • Denial management and AI-generated appeal letters
  • Real-time insurance eligibility verification
  • Accounts receivable (AR) tracking and follow-up automation
  • Prior authorization tracking and expiry alerts
  • HIPAA-compliant reporting and dashboards

The Service is intended solely for use by licensed healthcare providers, medical billing professionals, and their authorized staff within the United States.

3. Accounts and Eligibility

Account Registration

To access the Service, you must register for an account by providing accurate and complete information, including your practice name, National Provider Identifier (NPI) if applicable, specialty, and contact details. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Eligibility

You must be at least 18 years of age and authorized to practice or manage medical billing in your jurisdiction to use the Service. Datricx is currently available to healthcare providers operating within the United States.

4. HIPAA Compliance and Business Associate Agreement

Datricx acts as a Business Associate (as defined by HIPAA) when processing Protected Health Information (PHI) on your behalf. By signing up and using the Service, you agree to the Datricx Business Associate Agreement (BAA), which is incorporated into these Terms by reference and must be electronically signed during onboarding.

PHI De-identification

All PHI processed by the Service is de-identified in accordance with 45 CFR §164.514 (HIPAA Safe Harbor method) prior to transmission to any AI model or third-party AI provider. De-identified data is not subject to HIPAA restrictions. You remain responsible for ensuring your use of the Service complies with HIPAA, the HITECH Act, and all applicable state privacy laws.

Security

Datricx implements administrative, physical, and technical safeguards as required by the HIPAA Security Rule (45 CFR §§ 164.302–318), including encryption of PHI at rest and in transit, role-based access controls, and audit logging.

5. Subscription Plans and Free Trial

Free Trial

New accounts receive a 7-day free trial with full access to all features of the selected plan. During the trial, claims are processed in sandbox mode — no real EDI transmissions occur and no clearinghouse fees are incurred. No credit card is required to start a trial. We reserve the right to modify or terminate the free trial offer at any time.

Subscription Plans

After the free trial period, continued use of the Service requires a paid subscription. Current pricing is published at datricx.com/#pricing. Plans are billed monthly or annually depending on your selection.

Provider Seats

Each plan includes a defined number of provider seats (licensed clinicians billed under their own NPI). The Starter plan includes 1 provider. The Growth plan includes up to 3 providers, with additional providers available at $150/month each. Enterprise plans include unlimited providers. There are no caps on claim volume on any plan.

6. Payment Terms

Payments are processed by Paddle (paddle.com), our third-party payment processor. By subscribing, you authorize Paddle to charge your payment method on a recurring basis for the subscription fee. Datricx does not store your credit card or payment details directly.

Billing

Subscriptions renew automatically at the end of each billing period (monthly or annual). You may cancel at any time; cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused periods unless required by applicable law.

Price Changes

We may change subscription prices with at least 30 days' advance notice. Continued use after the effective date constitutes acceptance of the new pricing.

7. Acceptable Use

You agree not to:

  • Submit fraudulent, fictitious, or upcoded claims through the Service
  • Use the Service to violate HIPAA, the False Claims Act, or any applicable federal or state healthcare regulations
  • Attempt to reverse-engineer, decompile, or extract AI model weights or proprietary algorithms
  • Share account credentials with unauthorized users
  • Use the Service for any purpose other than legitimate healthcare revenue cycle management
  • Attempt to access another customer's data or the Service infrastructure

Datricx reserves the right to suspend or terminate accounts that violate these terms without notice.

8. Data Ownership and License

Your Data

You retain full ownership of all patient data, practice data, and PHI you upload or generate through the Service. By using the Service, you grant Datricx a limited license to process your data solely to provide and improve the Service as described in our Privacy Policy.

Our IP

The Datricx platform, including its AI models, algorithms, user interface, and documentation, is the proprietary intellectual property of Datricx and is protected by copyright, trade secret, and other laws. These Terms do not grant you any ownership rights in the Service.

9. Accuracy of AI Coding

Datricx uses AI to suggest ICD-10 and CPT codes based on clinical documentation. While our system achieves high accuracy, AI-generated codes are suggestions only. You remain solely responsible for the accuracy, completeness, and compliance of all claims submitted to payers. You should review AI-generated codes before submission and maintain qualified billing staff to oversee claim accuracy. Datricx does not provide legal, medical, or compliance advice.

10. Service Availability

We strive to maintain high platform availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability and will provide reasonable advance notice when possible. Enterprise plans include SLA-backed uptime commitments as specified in the Enterprise agreement.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DATRICX DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, THAT AI-GENERATED CODES WILL BE ACCEPTED BY ALL PAYERS, OR THAT THE SERVICE WILL MEET ALL REGULATORY REQUIREMENTS APPLICABLE TO YOUR SPECIFIC PRACTICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATRICX'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES PAID BY YOU TO DATRICX IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL DATRICX BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST REVENUE, CLAIM DENIALS ATTRIBUTABLE TO CODING ERRORS, OR DATA LOSS.

13. Termination

Either party may terminate these Terms at any time. You may cancel your subscription at any time via your billing settings. We may suspend or terminate your account immediately for violations of these Terms, non-payment, or if we reasonably believe continued access poses a legal or security risk.

Upon termination, your access to the Service will cease. We will retain your data for 30 days after termination to allow for export, after which it may be permanently deleted in accordance with our data retention policy and HIPAA requirements.

14. Governing Law

These Terms are governed by the laws of the United States and the state in which Datricx is incorporated, without regard to conflict-of-law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice in the platform at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
